Terms of Service
The terms that govern your use of Swivel and this website.

These Terms of Service ("Terms") govern your access to and use of the Swivel website, platform, software, AI-assisted workflows, and related services (collectively, the "Services"). "Swivel," "we," "us," and "our" refer to THE COOP VENTURES LLCd/b/a Swivel.
If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization. If your organization has a separate written agreement, order form, data processing agreement, or statement of work with Swivel, that written agreement controls if it conflicts with these Terms.
1. Acceptance
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Eligibility and accounts
You must be at least 18 years old and legally able to enter into these Terms. You are responsible for keeping account credentials secure, limiting access to authorized users, and promptly notifying us of suspected unauthorized access.
3. Use of the Services
Subject to these Terms and any applicable order form, Swivel grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes. You must use the Services only in compliance with applicable laws, these Terms, and any documentation or usage limits we provide.
You may not:
- reverse engineer, decompile, copy, resell, sublicense, or commercially exploit the Services except as expressly permitted;
- interfere with, disrupt, overload, scan, or test the vulnerability of the Services without authorization;
- use the Services to violate law, infringe rights, send unlawful communications, or process data you are not authorized to use;
- upload malicious code, attempt unauthorized access, or bypass security or usage controls;
- use the Services to build a competing product or to benchmark the Services for publication without our written consent.
4. Customer data and permissions
You retain ownership of data, content, and materials you submit to or connect with the Services ("Customer Data"). You grant Swivel the rights needed to host, process, transmit, analyze, display, and otherwise use Customer Data to provide, secure, support, and improve the Services for you.
You are responsible for ensuring that you have all rights, notices, consents, permissions, and lawful bases needed to provide Customer Data to Swivel and to use the Services with your customers, users, subscribers, employees, contractors, and business systems.
Do not submit protected health information, payment card data, Social Security numbers, government ID numbers, children's data, biometric data, precise geolocation, or other sensitive regulated data unless a written agreement with Swivel expressly permits it.
5. AI-assisted recommendations
The Services may use AI systems to analyze retention signals, recommend save plays, draft messages, summarize context, route customer-facing actions for review, and measure outcomes. AI outputs can be incomplete, inaccurate, or unsuitable for a particular situation.
You are responsible for reviewing and approving any customer-facing action, offer, message, or decision before it is used. Swivel does not provide legal, financial, tax, compliance, employment, medical, or other professional advice.
6. Third-party services and integrations
The Services may connect to third-party systems such as billing, CRM, product analytics, customer success, lifecycle messaging, data warehouse, scheduling, or communication tools. Your use of third-party services is governed by your agreements with those providers. Swivel is not responsible for third-party services, their data practices, or their availability.
7. Fees and payment
Fees, billing terms, renewal terms, taxes, and payment obligations are set out in the applicable order form, statement of work, or other written agreement. Except as stated in that written agreement, fees are non-refundable and payment obligations are non-cancelable for the committed term.
8. Confidentiality
Each party may receive non-public information from the other that should reasonably be understood to be confidential. The receiving party will use confidential information only to perform under these Terms or the applicable written agreement, will protect it using reasonable care, and will not disclose it except to personnel, contractors, advisors, or providers who need to know it and are bound by confidentiality obligations.
9. Intellectual property
Swivel and its licensors own the Services, software, website, documentation, models, workflows, designs, trademarks, and other technology and content we provide. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
If you provide feedback or suggestions, you grant Swivel a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.
10. Privacy and security
Our Privacy Policy explains how we collect and use information. Where applicable, customer data processing may also be governed by a data processing agreement or other written agreement. We use reasonable safeguards designed to protect the Services, but no system is completely secure.
11. Beta features
We may offer previews, pilots, experiments, or beta features. These are provided for evaluation, may change or stop at any time, and may be subject to additional terms. Beta features are provided as-is and are excluded from service level commitments unless a written agreement says otherwise.
12. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Swivel disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that outputs will be accurate or achieve any particular business result.
13. Limitation of liability
To the maximum extent permitted by law, Swivel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, business interruption, or loss of data, even if we have been advised of the possibility of those damages.
To the maximum extent permitted by law, Swivel's aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the amounts paid by you to Swivel for the Services giving rise to the claim in the 12 months before the event giving rise to liability, or $100 if you have not paid Swivel for the Services.
14. Indemnification
You will defend, indemnify, and hold harmless Swivel and its officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your Customer Data, your use of the Services, your violation of these Terms, or your violation of law or third-party rights.
15. Suspension and termination
We may suspend or terminate access to the Services if you violate these Terms, create security or legal risk, fail to pay amounts owed, or use the Services in a way that may harm Swivel, the Services, our customers, or third parties. You may stop using the Services at any time, but stopping use does not relieve payment obligations under an applicable written agreement.
16. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms on this page or through another appropriate channel. Your continued use of the Services after updated Terms take effect means you accept the updated Terms.
17. Governing law and venue
Unless a separate written agreement says otherwise, these Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services, and each party consents to that jurisdiction and venue.
